1. Introduction

3. Limited License to Use Materials
Subject to your compliance with these Terms, ProCourseStart LLC hereby grants you a non-transferable, non-sublicensable, limited, revocable license to access and use the course materials, training modules, downloadable files, videos, templates, worksheets, and related documentation strictly for your own personal, non-commercial educational purposes. This license is governed by specific terms which, if breached, shall result in immediate termination of access without recourse or refund.
You may NOT:
- Modify, repurpose, or adapt content in a way that represents it as your original work.
- Republish materials or redistribute access credentials under any circumstances.
- Utilize course data, frameworks, or instructional elements in paid coaching, consulting, or course-building programs.
- Dissect, decompile, reverse-engineer, or analyze our platform software for duplication or reverse replication purposes.
- Share login credentials or course access with unauthorized individuals.
- Remove proprietary branding, copyrights, disclaimers, author identifiers, or citation metadata from any downloadable content.
- Use your access to enable other individuals to consume the content via screen sharing, password sharing, or account switching.
The license granted herein shall not, under any interpretation, confer any ownership rights, commercial privileges, or sublicensing capabilities to the user.
- This license automatically terminates if you violate these terms. Upon termination, you must destroy any downloaded materials.
Intellectual Property Protection
- The course content, templates, frameworks, and strategies provided by ProCourseStart LLC are intellectual property and cannot be copied, resold, or repackaged as part of another course without explicit written permission.
- You may not use our course materials to create a competing business model or claim our frameworks as your own.
- Violations may result in immediate account termination and legal action if necessary.
4. Intellectual Property Protection
All intellectual property rights associated with the design, structure, functionality, curriculum, textual content, logos, user interface, audiovisual elements, and instructional frameworks of ProCourseStart are retained exclusively by ProCourseStart LLC and/or its affiliates. - No Legal or Financial Advice: Any reference to legal structures, pricing, or tax deductions is for illustrative purposes only. You are advised to seek professional legal and tax advice.
- Mentorship & Membership Limitations: Mentorship and group membership programs provide generalized insights applicable across professions. They do not constitute formal business consulting or services rendered to individual course creators.
7. Limitation of Liability
To the fullest extent permitted by applicable law, you agree that ProCourseStart LLC, including its officers, directors, employees, agents, licensors, vendors, contractors, affiliates, successors, and assigns, shall not be liable to you or any third party for any direct, indirect, incidental, special, exemplary, punitive, or consequential damages whatsoever. This includes, but is not limited to, any loss of use, data, revenue, business interruption, anticipated profits, goodwill, or other intangible losses, whether based in contract, tort (including negligence), strict liability, or otherwise, arising out of or in any way connected with your use or inability to use the Services, or for any error, omission, interruption, defect, delay in operation or transmission, or computer virus or line/system failure.
In jurisdictions where limitations of liability are restricted, the liability of ProCourseStart LLC shall be limited to the maximum extent permitted by law and, in any event, shall not exceed the total amount paid by you for the Services giving rise to the claim in the twelve (12) months preceding the incident. This limitation shall survive the termination or expiration of your use of the Services and shall apply even if a limited remedy provided herein is found to have failed of its essential purpose.

You acknowledge that any financial decisions you make in connection with your course business are made solely at your discretion and risk.
10. Tax & Financial Responsibility
ProCourseStart LLC is not licensed to provide and does not engage in the practice of giving legal, tax, accounting, or financial planning advice. Any information related to business structures, tax deductions, pricing models, payment processors, or revenue projections is provided purely for illustrative and educational purposes and does not constitute professional advice.
You are solely responsible for understanding the tax implications, reporting requirements, and legal obligations of your course business in your local jurisdiction, including those imposed by the Internal Revenue Service (IRS) in the United States or any other relevant tax authority. We strongly encourage you to consult with certified tax professionals, financial advisors, or attorneys prior to making any decisions that may impact your financial liabilities or regulatory standing.
11. User Responsibility & Legal Compliance
As a user of ProCourseStart Services, you agree to take full responsibility for ensuring that the content, marketing, instructional approach, and commercial structure of any online course business you create or operate complies with all applicable laws, rules, and regulations at the local, state, national, and international levels.
This includes, but is not limited to, compliance with:
- Advertising and data privacy laws (e.g., FTC, GDPR, CCPA)
- Platform terms of service (e.g., Thinkific, Kajabi, Facebook, Stripe)
- Intellectual property protections (e.g., copyright, trademark, DMCA)
- Industry-specific requirements (e.g., HIPAA, FINRA, FERPA, SEC, State Boards)
You further agree not to misrepresent your qualifications, credentials, or capabilities to students, clients, or regulatory bodies. If your course content intersects with regulated fields such as medicine, law, accounting, finance, mental health, or engineering, it is your duty to disclose your limitations, include appropriate disclaimers, and obtain any required certifications, licenses, or permissions.
ProCourseStart shall not be held liable for any failure on your part to comply with applicable legal or regulatory obligations.
12. Governing Law & Dispute Resolution
This Agreement shall be governed by and construed in accordance with the internal laws of the State of Wyoming, excluding its conflict of laws provisions. You agree that any dispute, claim, or controversy arising out of or relating to the Services, these Terms, the breach, termination, enforcement, interpretation, or validity thereof shall be resolved exclusively by final and binding arbitration under the rules of the American Arbitration Association (AAA).
The arbitration shall be conducted in Wyoming, before a single arbitrator, and shall be administered in accordance with the AAA’s Commercial Arbitration Rules then in effect. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. Each party shall bear its own attorneys' fees and costs, unless otherwise determined by the arbitrator.
You expressly waive the right to bring any claim, action, or proceeding in any court and waive the right to a trial by jury. Any cause of action or claim you may have must be commenced within one (1) year after the claim or cause of action arises or be permanently barred.
13. Non-Compete Agreement Compliance
To remain in compliance with existing non-compete agreements, ProCourseStart focuses on course business development and scaling strategies but will not:
- Provide nursing, medical, or profession-specific continuing education or professional development.
- Offer continuing education, licensing support, or accredited courses within profession-specific spaces.
- Directly target nurses, accountants, realtors, or other regulated professions for industry-specific continuing education or professional development.
- Take equity, revenue share, or provide personalized strategic guidance to businesses that could be considered direct competitors.
- Provide specific accreditation guidance, licensing support, or compliance training for any profession.
- Facilitate or support the creation of course businesses that directly compete with any existing educational brands or platforms known to operate in the professional education space.
Users of ProCourseStart are solely responsible for ensuring that their participation in our program does not violate any pre-existing contractual obligations, such as non-compete agreements, employment agreements, or business arrangements. If you have signed a contractual restriction or non-compete clause with a former employer, acquirer, or business partner, we strongly encourage you to seek legal guidance before implementing any educational business strategy.
14. Mentorship & Membership Program Limitations
ProCourseStart’s mentorship and membership offerings are structured exclusively as educational and informational tools that deliver generalized, non-industry-specific business strategy content applicable to online course development and entrepreneurial digital ventures. These programs are intended solely to support high-level business ideation, audience engagement methodology, marketing fundamentals, and content packaging techniques that are agnostic in nature and do not intersect with any regulated field of professional practice.
Mentorship Programs:
- ProCourseStart’s mentorship programs are expressly limited to offering overarching principles and insights derived from the founder’s personal entrepreneurial experience.
- The content discussed, shared, or recommended during mentorship interactions does not constitute advisory services, nor does it pertain to industry-specific accreditation, licensing, or professional compliance.
- Mentorship is delivered in a group or cohort format and shall not be construed as individualized coaching, consulting, or contracted services under any circumstance.
Membership Programs:
- ProCourseStart membership programs—encompassing digital forums, live or recorded webinars, group office hours, structured Q&A, and community discussion boards—are offered as supplemental resources and not professional guidance.
- These programs do not provide or imply any endorsement, support, or instruction tailored to specific professions, licensure paths, or continuing education models.
- At no point does ProCourseStart conduct assessments, compliance evaluations, accreditation reviews, or licensing verifications related to user-submitted course business ideas.
All users and participants are solely and exclusively responsible for:
- Understanding their own non-compete, employment, or partnership obligations;
- Ensuring that any advice or strategy explored through the program does not contravene existing legal or contractual restrictions;
- Avoiding the misapplication of general business knowledge to situations requiring specialized legal, financial, or professional certification oversight.
15. Refund Policy (Lifetime Satisfaction Guarantee)
ProCourseStart LLC stands behind the value of its digital products while maintaining operational integrity, fair usage standards, and a refund policy that reflects industry norms and reasonable protections for both the buyer and the provider. By enrolling in a course, users agree to the following structured, time-sensitive refund framework:
- Within 30 Calendar Days: Full 100% refund available upon request if the user affirms in good faith that no substantial value was received.
- After 30 Days but Before 91 Days: Refunds are issued minus a ten percent (10%) non-refundable administrative and transaction processing fee.
- From Day 91 to One Year: Refunds will incur a twenty percent (20%) deduction to account for administrative overhead, transaction fees, and estimated tax obligations incurred by ProCourseStart LLC.
- Beyond One Year: Refunds requested more than twelve (12) months after the original date of purchase are subject to a forty percent (40%) deduction to reflect cumulative costs and irrecoverable taxes paid by ProCourseStart LLC.
No Refunds Will Be Issued If:
- The course content has been 100% completed by the user based on platform analytics;
- The user is found to be in violation of the Terms of Service, including intellectual property misuse, unauthorized account access, or refund abuse;
- Refund requests are deemed to be in bad faith or intended to exploit the refund policy as determined at the sole discretion of ProCourseStart LLC.
All refund requests are evaluated on a case-by-case basis. Approval is not guaranteed and is contingent upon a demonstrable lack of value, legitimate user intent, and a documented history of good-faith interaction with the course platform.
